Important Notice — Please Read

This agreement contains a binding arbitration provision and class action waiver. Except where prohibited by applicable law, these Terms require You to arbitrate disputes with AllBetter individually rather than resolve them through a judge, jury, or class action. See the Dispute Resolution section, including the 30-day right to opt out.

1. Acceptance & Scope

These Terms of Use (the "Terms") govern Your access to and use of the applications, websites, content, products, and services (collectively, the "Services") made available within the United States and its territories and possessions by AllBetter and its subsidiaries and affiliates (collectively, "AllBetter," "We," "Our," or "Us"). In this agreement, the words "including" and "include" mean "including, but not limited to."

By accessing or using the Services, You agree to be bound by these Terms, Our Privacy Policy (below), and any policies or terms incorporated by reference. These Terms form a legally binding agreement between You and AllBetter. If You do not agree, do not access or use the Services.

"Clients" are individuals and businesses seeking task or chore services (a "Job" or "Jobs"). "Service Providers" are third-party individuals and businesses seeking to perform Jobs for Clients. Clients and Service Providers together are referred to as "Users." Service Providers are independent contractors and not employees of AllBetter. AllBetter does not perform Jobs and does not employ individuals to complete assignments. Users acknowledge that AllBetter does not supervise, direct, control, or monitor a Service Provider's work and is not responsible for the work performed.

Scope: Three Applications, One Set of Terms

These Terms govern Your relationship with AllBetter across three separate applications. Where a provision applies only to a specific application, it is labeled accordingly. Where a provision is unlabeled, it applies to all three.

HomeFix

Consumer marketplace where Clients post jobs, receive bids from Service Providers, pay through escrow, and approve completed work.

JobPro

Marketplace where Service Providers receive job leads from Clients, submit quotes, perform work, and receive payment net of commission.

Field

Subscription-based field service management software ($29–$129/month) for trade contractor businesses to run scheduling, dispatch, invoicing, and payment.

A Person using more than one application is bound by the provisions of each application that Person uses. If there is a conflict between an application-specific provision and a general provision, the application-specific provision controls for transactions originating within that application.

2. The Services

The basic Services constitute a technology platform that permits Users of AllBetter mobile applications and websites (each an "Application") to set up and schedule a Job with Service Providers.

Unless otherwise agreed by AllBetter in a separate written agreement with the User, the Services are made available for personal or commercial use. Client acknowledges that AllBetter does not complete Jobs. AllBetter's Services may be used by the Client to obtain and schedule Jobs with Service Providers, but the Client agrees that AllBetter does not have any responsibility or liability for any Job provided by Service Providers other than as expressly set forth in these Terms. AllBetter does not guarantee the suitability, safety, or ability of Service Providers. It is solely the Client's own responsibility to determine if a Service Provider will meet the Client's needs and expectations.

By using the Services, the Client acknowledges that the Client may be exposed to situations involving Service Providers that are possibly unsafe, offensive, harmful, or otherwise objectionable, and that use of Service Providers arranged or scheduled while using the Services is at the Client's individual risk and judgment. AllBetter shall have no liability arising from or related to User dealings or relationships with Service Providers or any other User.

AllBetter may immediately terminate these Terms or any Services with respect to any User, or generally cease offering or deny access to the Services or any portion thereof, at any time for any reason. Supplemental terms may apply to certain Services (for example, policies for a particular event, activity, or promotion), and such supplemental terms will be disclosed in connection with the applicable Services. Supplemental terms are in addition to and a part of these Terms and shall prevail over these Terms in the event of a conflict with respect to the applicable Services.

3. Changes to These Terms

These Terms are subject to occasional revision. If We make substantial changes, We may notify You by sending an email to the last email address You provided (if any) and/or by prominently posting notice on Our Site. You are responsible for providing Us with Your most current email address. If the last email address You have provided Us is not valid, Our dispatch of the email containing such notice will nonetheless constitute effective notice of the changes.

Any changes to these Terms will be effective upon the earlier of thirty (30) calendar days following Our dispatch of an email notice to You (if applicable) or thirty (30) calendar days following Our posting of notice of the changes on Our Site. These changes will be effective immediately for new Users. Continued use of Our Site following notice of such changes shall indicate Your acknowledgment of and agreement to be bound by such changes.

4. License & Ownership

Limited License

Subject to Your compliance with these Terms, AllBetter grants You a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to (i) access and use the Applications on Your personal device solely in connection with use of the Services; and (ii) access and use any content, information, and related materials that may be made available through the Services, in each case solely for Your personal or commercial use. Any rights not expressly granted herein are reserved by AllBetter and its licensors.

Restrictions

Users may not: (i) remove any copyright, trademark, or other proprietary notices from any portion of the Services; (ii) reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast, or otherwise exploit the Services except as expressly permitted by AllBetter; (iii) decompile, reverse-engineer, or disassemble the Services except as permitted by applicable law; (iv) link to, mirror, or frame any portion of the Services; (v) cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, data-mining, or otherwise unduly burdening or hindering the operation of any aspect of the Services; or (vi) attempt to gain unauthorized access to or impair any aspect of the Services or its related systems.

Ownership

Excluding any User Content You provide (defined below), the Services and all rights therein are and shall remain AllBetter's property or the property of AllBetter's licensors. Neither these Terms nor Your use of the Services conveys or grants to You any rights (i) in or related to the Services except for the limited license granted above, or (ii) to use or reference in any manner AllBetter's company names, logos, product or service names, trademarks, or service marks.

5. Account, Eligibility & Conduct

To use most aspects of the Services, You must register for and maintain an active personal Account. You must be at least 18 years of age, or the age of legal majority in Your jurisdiction (if different than 18), to obtain an Account. Account registration requires You to submit to AllBetter certain personal information, such as Your name, address, mobile phone number, and age, as well as at least one valid credit card and/or bank account.

You represent and warrant that all required registration information You submit is truthful and accurate, and You agree to maintain accurate, complete, and up-to-date information in Your Account. Failure to maintain accurate, complete, and current Account information (including having an invalid or expired credit card on file) may result in inability to access the Services or termination of this Agreement.

You are responsible for all activity that occurs under Your Account. You agree to maintain the security and secrecy of Your username and password at all times and to immediately notify AllBetter of any unauthorized use or suspected unauthorized use of Your Account. Unless otherwise permitted by AllBetter in writing, You may only possess one Account. As a security precaution, Your credit/debit card or banking information will not be stored on AllBetter servers.

User Requirements & Conduct

The Services are not available for use by persons under 18. You may not authorize third parties to use Your Account, and may not allow persons under 18 to receive services from Service Providers. You may not assign or otherwise transfer an Account to any other person or entity. You agree to comply with all applicable laws when using the Services, and to use the Services only for lawful purposes. You will not cause nuisance, annoyance, inconvenience, or property damage in Your use of the Services, whether to a Service Provider or any other party. AllBetter may require You to provide proof of identity to access or use the Services, and may deny access if You refuse. AllBetter may also obtain a background check for security purposes and may deny access if You have disqualifying records.

No Support or Maintenance

You acknowledge and agree that AllBetter has no obligation to provide You with any support or maintenance in connection with the Services.

Promotional Codes

AllBetter may, in its sole discretion, create promotional codes ("Promo Codes") that may be redeemed for an Account credit or other features or benefits, subject to terms AllBetter establishes per Promo Code. You agree that Promo Codes: (i) must be used for the intended audience and purpose and in a lawful manner; (ii) may not be duplicated, sold, or transferred, or made available to the general public, unless expressly permitted; (iii) may be disabled by AllBetter at any time for any reason without liability; (iv) may only be used per the specific terms AllBetter establishes; (v) are not valid for cash; and (vi) may expire prior to use. AllBetter reserves the right to withhold or deduct credits, features, or benefits obtained through Promo Codes if AllBetter determines or believes the use was in error, fraudulent, illegal, or in violation of applicable terms.

6. Fees & Charges

AllBetter charges the following fees, which You authorize AllBetter to collect or deduct as applicable. All fees and fee percentages listed in these Terms are subject to change at AllBetter's sole discretion. The percentages stated below are current as of the Last Updated date of these Terms. Any fee revision takes effect as set forth in Changes to These Terms, and applies only to transactions initiated after the effective date — the fee in effect when a Job is initiated is the fee that applies to that Job.

Client Service Fee (HomeFix)

AllBetter charges the Client a service fee of up to ten percent (10%) on each Pro Service obtained through the Platform. This fee covers credit-card processing, escrow administration, dispute resolution, identity verification, in-Platform messaging, and platform operations. The exact amount is shown to the Client at checkout before payment is authorized.

Service Provider Commission (JobPro)

AllBetter charges the Service Provider a commission of fifteen percent (15%) of the Client-paid Charges (exclusive of taxes) on each completed Job, deducted from the payout to the Service Provider's Stripe Connect account. No fee is charged on bids, leads, listings, or messages — only on Jobs the Service Provider actually completes.

Field SaaS Subscription Fees

Software subscription fees applicable to the Field application are set forth in Software Subscriptions below.

Cancellation Fees

If a Client cancels a confirmed Pro Service after the Service Provider has been dispatched or has incurred verifiable trip costs, AllBetter may charge a cancellation fee that compensates the Service Provider in part. The amount and conditions of any cancellation fee will be disclosed to the Client before booking confirmation.

Refunds of Fees

Except as set forth in Funds Held in Escrow and Release of Payment, all Fees are non-refundable. Refunds of underlying Charges (the amount payable to the Service Provider) are governed by the escrow section, not this Fees section.

Taxes

Client-paid Charges are inclusive of applicable sales tax where required by law. Service Providers are independent contractors and are solely responsible for reporting and remitting their own income, self-employment, and other tax obligations.

7. Payment & Marketplace Independence

Service Provider Sets the Price

AllBetter is a technology platform that introduces Clients and Service Providers. Each Service Provider is an independent business that sets its own prices, hours, scope of work, and availability. AllBetter does not set, dictate, control, suggest, recommend, or influence the prices any Service Provider charges. AllBetter does not engage in surge pricing, demand-based pricing, dynamic pricing, geographic price adjustments, or any other pricing override. The Service Provider's bid is the Service Provider's bid.

AllBetter's only direct pricing role is its own Fees (see Fees & Charges above). AllBetter may from time to time offer optional pricing-suggestion tools or market benchmarks to help Service Providers price competitively, but use of any such tool is voluntary and final pricing remains the Service Provider's exclusive decision.

Charges & Payment Flow

The Client understands that use of the Services may result in payments by the Client for services received from a Service Provider ("Charges"). After the Service Provider has delivered the Pro Service, AllBetter facilitates payment of the applicable Charges on behalf of the Service Provider, acting as Service Provider's limited payment collection agent, using the preferred payment method designated in the Client Account, and will send the Client a receipt by email. Payment of the Charges in such manner shall be considered the same as a payment made directly by the Client to the Service Provider. Charges will be inclusive of applicable taxes where required by law. Charges paid by the Client are final and non-refundable except as governed by Funds Held in Escrow and Release of Payment.

All Charges are due immediately and payment will be facilitated by AllBetter using the preferred payment method designated in the Client Account. If Your primary Account payment method is expired, invalid, or otherwise not chargeable, You agree that AllBetter may, as the Service Provider's limited payment collection agent, use a secondary payment method in the Client Account, if available.

Promotional offers and discounts may result in different Charges for the same or similar Services and have no bearing on Your use of the Services or the Charges applied to You. The Client may cancel a request for Services from a Service Provider at any time prior to such Service Provider's arrival, in which case the Client may be charged a cancellation fee per Fees & Charges. Tipping is voluntary; AllBetter does not designate any portion of Your payment as a tip or gratuity.

In-Platform Communication Required

All communications between Clients and Service Providers must occur through the in-Platform chat. This is for the safety of both parties and for recordkeeping in the event of a dispute. Sharing of off-Platform contact information or conducting business outside the AllBetter ecosystem is prohibited — see Anti-Circumvention for liquidated-damages consequences.

Client Due Diligence

Before booking, the Client should review the Service Provider's profile, ratings, prior reviews, and credentials, and use the in-Platform chat to ask any questions needed for the Client's peace of mind. AllBetter does not guarantee the suitability, safety, qualifications, or ability of any Service Provider — see No Obligation to Screen Service Providers below.

Cash and Off-Platform Payment Prohibited

Payments for services rendered through Our platform must be processed using the payment system provided by AllBetter. No cash payments or payments made outside of the AllBetter Platform will be accepted. Any User found to be accepting cash or off-platform payments will have their Account suspended or terminated and may be liable for liquidated damages under Anti-Circumvention.

Stripe Connected Account Agreement

By onboarding as a Service Provider, You enter into a separate Connected Account Agreement with Stripe ("Stripe"). Your use of the Services as a Service Provider is subject to Your acceptance of the Stripe Services Agreement and the Stripe Connected Account Agreement, as updated by Stripe from time to time. The Stripe Services Agreement may incorporate separate agreements with financial-services providers. The Stripe Connected Account Agreement governs Your use of Stripe Connect and management of Your Connected Account, including the use and administration of data about You or Your transactions and initiating Activity (charges, refunds, chargebacks, disputes, and related functions).

You represent that all information You provide to AllBetter directly or indirectly through the Connect Platform is accurate and complete, and that You are authorized to agree to the Stripe Connected Account Agreement on behalf of the Connected Account.

Disputes Lodged with Payment Providers

If You open a dispute with Your payment provider (such as Your bank, credit card issuer, or payment processor), Your AllBetter account may be temporarily frozen until the dispute is resolved or withdrawn. While frozen, We will not be able to process payments, issue refunds, or release funds from Your account. We strongly encourage You to contact Our support team first to allow Us an opportunity to help resolve any concerns before initiating a dispute with Your payment provider.

8. Funds Held in Escrow & Release of Payment HomeFix

When a Client tenders payment for a Pro Service through the Platform, those funds (the "Held Funds") are held in a custodial account at the Platform's payment processor (Stripe) pending completion and approval of the work. Held Funds are not the property of the Service Provider until released as described below. AllBetter does not commingle Held Funds with its own corporate funds and does not earn interest from Held Funds for its own account.

Completion Notice

When the Service Provider marks a Job complete in the Platform, the Client receives a notice of completion (the "Completion Notice") with a summary of the work performed and the amount on hold.

Review Window

The Client has twenty-four (24) hours after the Completion Notice (the "Review Window") to take one of the following actions through the Platform:

  • approve the work and release the Held Funds to the Service Provider, or
  • file a written dispute through the Platform's dispute-resolution tool, stating the basis for the dispute and the relief sought.

Auto-Release

If the Client does not affirmatively approve or file a written dispute within the Review Window, the Held Funds will automatically release to the Service Provider once the twenty-four (24)-hour Review Window has elapsed.

Scope of waiver. The Client's failure to file a dispute within the Review Window is deemed a waiver only of any claim relating to the amount, billing, or completeness of the Held Funds release for the covered Job. It is not a waiver of any other claim the Client may have under applicable law against the Service Provider, including (without limitation) claims for latent defects the Client could not reasonably have discovered during the Review Window, property damage, personal injury, breach of warranty of workmanship, or violations of law. Any such claims remain preserved and may be pursued under the Dispute Resolution section and applicable law.

Dispute Hold

If the Client files a written dispute within the Review Window, the Held Funds remain on hold pending resolution. AllBetter will review the dispute at its sole discretion, considering any photographs, written records, communications, and other materials the parties submit, and will determine what portion (if any) of the Held Funds is released to the Service Provider and what portion is refunded to the Client. AllBetter's determination is final and binding for purposes of the Held Funds release decision only. This release decision is an administrative allocation of the Held Funds; it is not a determination of fault, liability, negligence, or the quality or adequacy of any work, is not legal advice, and does not decide, bind, waive, or limit either party's rights or remedies against the other, all of which are expressly preserved. AllBetter is not the arbiter of any underlying contract between the Client and the Service Provider and does not adjudicate claims against either party that fall outside the Held Funds; such claims may still be pursued under applicable law and the Dispute Resolution section of these Terms.

Risk Holds

AllBetter may extend the Review Window, freeze any Held Funds release, reverse a release that has been initiated, or require additional information from either party at any time if AllBetter has reasonable basis to suspect fraud, payment-card chargeback risk, identity misrepresentation, violation of these Terms, regulatory inquiry, or any other risk to AllBetter, Stripe, or another User.

No interest. Neither Client nor Service Provider is entitled to interest accrued on any Held Funds for any holding period. By accepting a Job through the Platform, the Service Provider acknowledges and agrees that the Service Provider has no contractual right to receive Held Funds before they are released under this section.

9. Software Subscriptions Field

The following terms apply to AllBetter software subscriptions ("Field" SaaS), separate from the marketplace.

Free Trial Period

New Users are eligible for a two-week free trial of AllBetter software. During the trial, all features of the subscription plan are accessible without charge.

Subscription Renewal & Notice

If You do not cancel Your subscription before the end of the two-week trial period, it will automatically renew. You will be charged the applicable subscription fee upon renewal. Your subscription will automatically renew on a monthly or annual basis, depending on Your selected term, unless You cancel before the renewal date.

Before signup, You will see a clear-and-conspicuous disclosure of the auto-renewal terms (price, renewal interval, cancellation method) and must provide affirmative consent separate from acceptance of these Terms. For annual subscriptions, AllBetter will send a renewal reminder by email between three (3) and seven (7) days before the renewal charge. AllBetter will also send notice by email at least thirty (30) days before any material change to subscription terms or pricing.

How to Cancel

You may cancel Your subscription at any time, in the same manner You used to subscribe. Cancellation is available directly inside the AllBetter mobile application or by emailing hello@allbetterapp.com. Cancellation will take effect at the end of the then-current billing period; You retain access through that period. AllBetter does not require You to speak with a representative, navigate retention scripts, or take additional steps beyond those needed to subscribe.

Refund Policy

You can cancel Your subscription at any time during the free trial without charge. If You do not cancel within the free trial period, You will be charged the subscription fee. Subscription fees already paid for a completed billing period are non-refundable, even if You cancel mid-period or are terminated for cause. Continuing to use the software beyond the free trial period means You accept the subscription renewal and associated charges. Nothing in this section limits any non-waivable refund or cancellation right You may have under applicable law.

Fraudulent Claims

Any claims of fraud related to subscription charges will be reviewed according to Our records and Your agreement to these Terms. Charges deemed valid under this policy will not be refunded.

Changes to Subscription Terms

We reserve the right to change the terms and conditions of Our subscriptions at any time. Reasonable efforts will be made to notify You of significant changes.

Acceptable Use & Prohibited Businesses

The Field application is business-management software that You operate to run Your own business as You see fit. AllBetter does not direct, supervise, or control how You run Your business. You agree, however, not to use Field to operate, support, or process payments for any unlawful business or any business prohibited by Our payment processor, including without limitation illegal gambling, sexual or adult services, illegal drugs or controlled substances, weapons or explosives trafficking, counterfeit goods, money laundering, fraud, or any activity that violates applicable federal, state, or local law. If AllBetter determines, in its sole discretion, that Your account is being used for any such purpose, AllBetter may suspend or terminate Your subscription immediately and without refund, and may report unlawful activity to the appropriate authorities.

Subscription Termination

We may terminate Your subscription at any time without notice if You violate any of these Terms.

10. Optional Background Verification Service Providers

AllBetter offers an optional background-verification credential that Service Providers may choose to add to their profile. Participation is voluntary; nothing in these Terms requires a Service Provider to complete a background check in order to use the Platform or receive Jobs.

Third-Party Provider; AllBetter Is Not the Reporting Agency

When a Service Provider elects to obtain a background verification, the check is conducted by an independent third-party consumer reporting agency (the "CRA") that AllBetter has engaged for this purpose. AllBetter is not a consumer reporting agency. The CRA, not AllBetter, is responsible for compliance with the federal Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.) ("FCRA") and any applicable state equivalent, including:

  • (a) obtaining the Service Provider's written authorization to perform the check;
  • (b) providing the Service Provider with the required FCRA disclosures and a copy of the report on request;
  • (c) providing notice of any adverse action based on the report; and
  • (d) processing any dispute the Service Provider raises about the accuracy or completeness of the report.

By electing a background verification, the Service Provider agrees to the separate terms, privacy notice, and authorization presented by the CRA at the time of the check. Those terms are between the Service Provider and the CRA; AllBetter is not a party to that agreement other than to receive a pass/fail or verification result.

What AllBetter Receives and Displays

AllBetter receives only the verification status (typically a pass/fail or "verified" indicator) and a verification date from the CRA. AllBetter does not receive, store, or display the underlying report, criminal-history details, or sensitive personal information from the check. If a Service Provider's profile displays a verification badge, that badge reflects only that a check was completed as of the date shown by the CRA, and is informational.

Client Acknowledgment

The presence or absence of a background-verification badge on a Service Provider's profile is not a guarantee, warranty, or endorsement by AllBetter of the Service Provider's fitness, suitability, safety, qualifications, criminal history, or character. A background verification reflects only information available to the CRA as of the verification date and may be incomplete or out of date. Clients remain solely responsible for evaluating the suitability of any Service Provider before engaging them, including by reviewing profile information and using the in-Platform chat to ask questions.

Fees, Cancellation, and Refunds

If a fee is charged for the background verification, that fee is non-refundable once the check has been initiated with the CRA, because the CRA performs the check immediately upon request. Any refund or dispute relating to the CRA's services is governed by the CRA's own terms.

11. Anti-Circumvention; Off-Platform Solicitation

To protect the integrity of the marketplace and to ensure that every transaction benefits from AllBetter's identity verification, payment protection, and dispute resolution, Users agree:

  • (a) For a period of twelve (12) months following the first introduction of a Client and a Service Provider through the Platform, the Service Provider will not solicit, recruit, accept payment from, or perform any Pro Service for that Client outside the Platform, where the Pro Service would otherwise be available through AllBetter.
  • (b) For the same twelve (12) month period, the Client will not knowingly solicit or pay any introduced Service Provider for off-platform services first arranged through AllBetter.
  • (c) Neither party will share, request, or use external contact information (including phone numbers, email addresses, social-media handles, payment-app handles, or messaging-app identifiers) for the purpose of circumventing AllBetter's payment, verification, or dispute mechanisms.

Liquidated Damages

Because the damages caused by circumvention are inherently difficult to quantify, the parties agree that any willful violation of this section gives rise to liquidated damages payable to AllBetter equal to the greater of (i) two hundred fifty U.S. dollars ($250.00) per violation, or (ii) twice the platform fee and commission AllBetter would have earned on the off-platform transaction had it been conducted on the Platform. These liquidated damages are a reasonable estimate of harm and are not a penalty. AllBetter may, in addition, suspend or terminate the offending Account, withhold any pending payouts, deduct liquidated damages from any pending payout, and seek injunctive relief.

12. No Obligation to Screen Service Providers

AllBetter has no obligation to verify the identity, qualifications, licensing status, insurance, criminal history, or background of any Service Provider, and AllBetter makes no representation or warranty about any Service Provider. To the extent AllBetter chooses to offer or facilitate identity verification, background screening, license confirmation, or insurance verification, any such check is provided "AS IS" with no warranty of accuracy, currency, or completeness and is for informational purposes only.

The presence of any badge, verification mark, rating, or recommendation on a Service Provider's profile is not a guarantee, endorsement, or representation by AllBetter, and Users remain solely responsible for evaluating the suitability of any Service Provider before engaging that Service Provider. This section is in addition to, and does not limit, the Optional Background Verification section above.

13. Transactions Outside the AllBetter Ecosystem

Liability for External Transactions

Users acknowledge and agree that AllBetter facilitates transactions and interactions within its digital platform and ecosystem. In the event that Users decide to engage in transactions using cash, checks, or any other form of payment outside the AllBetter ecosystem, such transactions are considered external to AllBetter's platform and services. AllBetter expressly disclaims all liability for any loss, damage, or other consequences that may arise from such external transactions. Users conduct these transactions at their own risk and are encouraged to exercise caution and due diligence before proceeding.

No Oversight or Responsibility

AllBetter does not oversee, verify, guarantee, or assume responsibility for the authenticity, legality, or security of transactions, payments, or exchanges made outside of its platform. The platform's protection, dispute resolution services, and customer support are not available for transactions conducted outside of the AllBetter ecosystem.

Reporting and Assistance

While AllBetter is not liable for the outcomes of external transactions, Users are encouraged to report any fraudulent activity or concerns related to transactions outside the AllBetter ecosystem to the appropriate legal authorities.

Network Access & Devices

Users are responsible for obtaining the data network access necessary to use the Services. Users' mobile networks' data and messaging rates and fees may apply. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use the Services and any updates. AllBetter does not guarantee that the Services will function on any particular hardware or devices. The Services may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.

14. User-Provided Content & CDA §230

AllBetter may, in its sole discretion, permit User from time to time to submit, upload, publish or otherwise make available to AllBetter through the Services textual, audio, and/or visual content and information, including commentary and feedback related to the Services, initiation of Job requests, and submission of entries for competitions and promotions ("User Content"). Any User Content provided by User remains the property of the User.

However, by providing User Content to AllBetter, User grants AllBetter a worldwide, perpetual, irrevocable, transferrable, royalty-free license, with the right to sublicense, to use, copy, modify, create derivative works of, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised (including in connection with the Services and AllBetter's business and on third-party sites and services), without further notice to or consent from User, and without the requirement of payment to User or any other person or entity.

User represents and warrants that: (i) User either is the sole and exclusive owner of all User Content or that User has all rights, licenses, consents and releases necessary to grant AllBetter the license to the User Content as set forth above; and (ii) neither the User Content nor your submission of such User Content nor AllBetter's use of the User Content as permitted herein will infringe, misappropriate or violate a third party's intellectual property or proprietary rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

User agrees to not provide User Content that is defamatory, libelous, hateful, violent, obscene, pornographic, unlawful, or otherwise offensive, as determined by AllBetter in its sole discretion, whether or not such material may be protected by law. AllBetter may, but is not obligated to, review, monitor, or remove User Content, at AllBetter's sole discretion and at any time and for any reason, without notice to You.

Interactive Computer Service (CDA §230)

AllBetter is a provider of an interactive computer service as defined in Section 230 of the Communications Decency Act, 47 U.S.C. §230, and asserts all immunities and protections available thereunder with respect to User Content and any third-party content available through the Services. AllBetter has no obligation to monitor, review, edit, or remove User Content. Any review or moderation undertaken by AllBetter is in its sole discretion and does not constitute or imply endorsement of, or agreement with, any User Content. Statements, opinions, and information contained in User Content are those of the User who posted them and not of AllBetter.

Cap on Damages

AllBetter's Own Insurance (For AllBetter's Benefit Only)

AllBetter maintains general liability insurance for its own corporate operations. This coverage exists solely for AllBetter's benefit and does not create third-party beneficiary rights in any User. AllBetter does not insure Service Providers, does not insure the work Service Providers perform, and does not insure Clients against loss arising out of any Pro Service. Service Providers are independent contractors solely responsible for maintaining their own general liability insurance and, where applicable, workers' compensation insurance. Clients are responsible for maintaining their own homeowner's, renter's, or property insurance. No coverage under AllBetter's insurance applies to any agreement made outside of the AllBetter Platform or to any work not booked through the Platform.

17. Indemnification & Insurer Bound

Service Provider Indemnity (JobPro & Field Subscribers)

If You are a Service Provider, Field subscriber, or otherwise use the Services in connection with a trade or business, You agree, to the maximum extent permitted by applicable law, to release, defend, indemnify, and hold harmless AllBetter and its parents, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and successors (collectively, the "AllBetter Parties") from and against any and all claims, demands, lawsuits, fines, penalties, liabilities, damages, losses, judgments, costs, and expenses (including reasonable attorneys' fees, expert fees, and court costs) arising out of or in any way related to:

  • (a) Your access to or use of the Services in connection with Your business;
  • (b) Your User Content;
  • (c) Your breach or alleged breach of these Terms or any policy incorporated by reference;
  • (d) Your violation of any law, rule, regulation, or right of any third party, including intellectual property, privacy, publicity, or proprietary rights;
  • (e) Your interaction with any Client or other User, including any third party You contacted through the Services;
  • (f) Any Pro Service You performed or offered through the Platform, including without limitation any bodily injury, death, property damage, defective work, unlicensed activity, permit issue, code violation, warranty claim, or non-completion;
  • (g) Any payment dispute, chargeback, refund obligation, or tax obligation arising from a transaction You participated in;
  • (h) Any classification claim (worker-classification, employment, tax) brought against any AllBetter Party arising from Your engagement on the Platform; and
  • (i) Any claim brought by Your insurer, subrogee, or assignee.

Client Indemnity (HomeFix)

If You are a Client using the Services as a consumer, Your obligation to defend and indemnify the AllBetter Parties is narrower and applies only to claims, demands, lawsuits, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) brought by a third party and arising out of or in any way related to:

  • (a) Your breach or alleged breach of these Terms;
  • (b) Your User Content (including reviews, photos, or job descriptions You post);
  • (c) Your violation of any law or any right of a third party, including intellectual property, privacy, or publicity rights;
  • (d) Your fraud, willful misconduct, or intentionally false statement made on or through the Platform;
  • (e) Any payment dispute, chargeback, or refund obligation arising from a transaction You participated in;
  • (f) Any contact with a Service Provider made off-Platform in violation of Anti-Circumvention; and
  • (g) Any claim brought by Your insurer, subrogee, or assignee arising out of any of the foregoing.

For clarity, a Client's indemnification obligation does not extend to ordinary consumer use of the Services in compliance with these Terms.

General Indemnity Terms

AllBetter reserves the right, at Your expense, to assume the exclusive defense and control of any matter subject to indemnification by You, in which case You agree to cooperate fully with AllBetter's defense. You may not settle any indemnified matter without AllBetter's prior written consent (not to be unreasonably withheld). This Indemnification section survives termination of these Terms or Your Account.

California Civil Code §1542 Waiver

If You are a California resident, You expressly waive the protection of California Civil Code §1542, which provides: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." If You are not a California resident, You waive any equivalent statute or common-law principle in Your jurisdiction.

Insurer, Subrogee & Assignee Bound

Your insurance carrier, any subrogee, and any assignee or successor in interest to any claim that You could have brought against any AllBetter Party is bound by these Terms to the same extent that You are, including without limitation the Limitation of Liability, the Cap on Damages, the Dispute Resolution and arbitration provisions, the class action waiver, the Indemnification, and any applicable liability caps. No insurer, subrogee, or assignee will have any greater rights against any AllBetter Party than You have. Any insurer that has paid or has been requested to pay any claim arising out of Your use of the Services is deemed to have waived any subrogation right against any AllBetter Party. Any claim brought by an insurer, subrogee, or assignee in violation of this section will be subject to mandatory individual arbitration under the Dispute Resolution section, and the AllBetter Parties reserve all rights to seek dismissal, costs, and attorneys' fees.

18. Dispute Resolution & Arbitration

IMPORTANT — Please Read. This section requires binding individual arbitration of disputes and waives the right to a jury trial or class action, subject to the 30-day opt-out below.

User agrees that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof or the use of the Services (collectively, "Disputes") will be settled by binding arbitration between User and AllBetter, except that User or AllBetter retains the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of User or AllBetter copyrights, trademarks, trade secrets, patents, or other intellectual property rights. User acknowledges and agrees that User and AllBetter are each waiving the right to a trial by jury or to participate as a plaintiff or class member in any purported class action or representative proceeding. Unless both User and AllBetter otherwise agree in writing, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of any class or representative proceeding. If this paragraph is held unenforceable, then the entirety of this Dispute Resolution section will be deemed void.

30-Day Right to Opt Out of Arbitration

You have the right to opt out of the binding arbitration and class action waiver provisions of this Dispute Resolution section by sending written notice of Your decision to opt out, from the email address associated with Your Account, to hello@allbetterapp.com with the subject line "ARBITRATION OPT-OUT." The notice must be sent within thirty (30) days of Your first acceptance of these Terms, or within thirty (30) days of the effective date of any material change to this Dispute Resolution section. Your notice must include Your full legal name and the email address associated with Your Account. An opt-out is prospective only; the arbitration agreement survives and applies to any claim that arose before the opt-out. If You validly opt out, AllBetter will also not be bound by the arbitration and class action waiver provisions in any dispute between You and AllBetter.

Notice of Dispute; Mandatory Informal Resolution

Before either party may initiate arbitration, the party with a claim must first send a written Notice of Dispute to the other party. A Notice of Dispute from a User to AllBetter must be sent to hello@allbetterapp.com and must include the User's full legal name, the email address associated with the User's Account, a concise description of the claim, the relief sought, and the User's signature (electronic acceptable). A Notice of Dispute from AllBetter to a User will be sent to the email address on the User's Account.

The parties will negotiate in good faith for sixty (60) days following receipt of the Notice of Dispute to attempt to resolve the claim informally (the "Informal Resolution Period"). Any applicable statute of limitations and any arbitration filing deadline are tolled during the Informal Resolution Period. If the claim is not resolved within sixty (60) days, either party may then initiate arbitration as set forth below.

Compliance with this Notice of Dispute and Informal Resolution provision is a condition precedent to initiating arbitration. A party that initiates arbitration without first completing this informal process waives the right to recover any AAA filing or administrative fees that AllBetter would otherwise pay under the AAA Fees subsection below.

Arbitration Rules

The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer-Related Disputes (the "AAA Rules") then in effect, except as modified by this Dispute Resolution section. The AAA Rules are available at www.adr.org/arb_med or by calling the AAA at 1-800-778-7879. The Federal Arbitration Act governs the interpretation and enforcement of this section.

Arbitration Process

A party who desires to initiate arbitration must provide the other party with a written Demand for Arbitration as specified in the AAA Rules. The arbitrator will be either a retired judge or an attorney licensed to practice law in any U.S. state, and will be selected by the parties from the AAA's roster of consumer dispute arbitrators. If the parties are unable to agree upon an arbitrator within seven (7) days of delivery of the Demand for Arbitration, then the AAA will appoint the arbitrator in accordance with the AAA Rules.

Arbitration Location & Procedure

Unless User and AllBetter otherwise agree, the arbitration will be conducted in Cook County, Illinois (where AllBetter is headquartered), with the option of telephonic or video hearing where permitted by the AAA Rules. If Your claim does not exceed $10,000, then the arbitration will be conducted solely on the basis of documents User and AllBetter submit to the arbitrator unless User requests a hearing or the arbitrator determines that a hearing is necessary. If User's claim exceeds $10,000, User's right to a hearing will be determined by the AAA Rules. Subject to the AAA Rules, the arbitrator will have the discretion to direct a reasonable exchange of information by the parties, consistent with the expedited nature of the arbitration.

Arbitration Decision

The arbitrator will render an award within the time frame specified in the AAA Rules. The arbitrator's decision will include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court having jurisdiction thereof. The arbitrator's award damages must be consistent with the Limitation of Liability section above. The arbitrator may award declaratory or injunctive relief only in favor of the claimant and only to the extent necessary to provide relief warranted by the claimant's individual claim. If User prevails in arbitration, User will be entitled to an award of attorneys' fees and expenses to the extent provided under applicable law. AllBetter will not seek, and waives all rights it may have under applicable law to recover, attorneys' fees and expenses if AllBetter prevails in arbitration.

AAA Fees

User's responsibility to pay any AAA filing, administrative, and arbitrator fees will be solely as set forth in the AAA Rules. However, if the User's claim for damages does not exceed $1,000, AllBetter will pay all such fees unless the arbitrator finds that either the substance of Your claim or the relief sought in Your Demand for Arbitration was frivolous or was brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)).

Changes to This Section

Notwithstanding the provisions of the modification-related provisions above, if AllBetter changes this Dispute Resolution section after the date You first accepted these Terms (or accepted any subsequent changes), You may reject any such change by providing AllBetter written notice of such rejection by email to hello@allbetterapp.com along with the email address associated with Your Account, within 30 days of the date such change became effective. To be effective, the notice must include Your full name and clearly indicate Your intent to reject changes to this Dispute Resolution section. By rejecting changes, You agree that You will arbitrate any Dispute in accordance with the provisions of this section as of the date You first accepted these Terms.

19. Account Suspension or Termination

AllBetter may, in its sole discretion, with or without cause, with or without prior notice, and at any time, limit, suspend, deactivate, or terminate Your Account, in whole or in part. If AllBetter exercises this discretion:

  • (a) Your Account will be deactivated or suspended, Your password will be disabled, and You will not be able to access the Services or Your User Content;
  • (b) AllBetter may, if appropriate in its sole discretion, communicate to other Users that Your Account has been terminated, blocked, suspended, deactivated, canceled, or otherwise penalized, and the reason for that action;
  • (c) You will not be entitled to compensation for any Pro Service or Platform service canceled or delayed as a result of Account termination;
  • (d) You will not be entitled to a refund of any Fees, subscription charges, or balance, and any Promo Codes, credits, or unused prepaid balances are forfeited;
  • (e) Any pending payout to a Service Provider may be held pending resolution of outstanding obligations, chargebacks, or investigations; and
  • (f) AllBetter may take any additional action permitted by law for any violation of these Terms or any other policy or agreement between You and AllBetter.

You may cancel Your Account at any time by contacting hello@allbetterapp.com. If Your Account is canceled, AllBetter has no obligation to return or delete User Content beyond what is required by applicable law and described in the Privacy Policy.

20. Geographic Availability

The Services are intended for use by individuals and entities within the United States and its territories and possessions. AllBetter makes no representation that the Services are appropriate or available for use in any other jurisdiction. AllBetter reserves the right, in its sole discretion, to limit or refuse availability of the Services to any person, geographic area, or jurisdiction, and to terminate access for any User accessing the Services from outside the United States. Users accessing the Services from outside the United States do so at their own risk and are responsible for compliance with all applicable local laws.

21. Apple App Store EULA (Licensed Application End User License Agreement)

Apps made available through the App Store are licensed, not sold, to You. Your license to each App is subject to Your prior acceptance of either this Licensed Application End User License Agreement ("Standard EULA"), or a custom end user license agreement between You and the Application Provider ("Custom EULA"), if one is provided. Your license to any Apple App under this Standard EULA or Custom EULA is granted by Apple, and Your license to any Third Party App under this Standard EULA or Custom EULA is granted by the Application Provider of that Third Party App. Any App that is subject to this Standard EULA is referred to herein as the "Licensed Application." The Application Provider or Apple as applicable ("Licensor") reserves all rights in and to the Licensed Application not expressly granted to You under this Standard EULA.

a. Scope of License

Licensor grants to You a nontransferable license to use the Licensed Application on any Apple-branded products that You own or control and as permitted by the Usage Rules. The terms of this Standard EULA will govern any content, materials, or services accessible from or purchased within the Licensed Application as well as upgrades provided by Licensor that replace or supplement the original Licensed Application, unless such upgrade is accompanied by a Custom EULA. Except as provided in the Usage Rules, You may not distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time. You may not transfer, redistribute, or sublicense the Licensed Application and, if You sell Your Apple Device to a third party, You must remove the Licensed Application from the Apple Device before doing so. You may not copy (except as permitted by this license and the Usage Rules), reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application.

b. Consent to Use of Data

You agree that Licensor may collect and use technical data and related information — including but not limited to technical information about Your device, system and application software, and peripherals — that is gathered periodically to facilitate the provision of software updates, product support, and other services to You (if any) related to the Licensed Application. Licensor may use this information, as long as it is in a form that does not personally identify You, to improve its products or to provide services or technologies to You.

c. Termination

This Standard EULA is effective until terminated by You or Licensor. Your rights under this Standard EULA will terminate automatically if You fail to comply with any of its terms.

d. External Services

The Licensed Application may enable access to Licensor's and/or third-party services and websites (collectively and individually, "External Services"). You agree to use the External Services at Your sole risk. Licensor is not responsible for examining or evaluating the content or accuracy of any third-party External Services, and shall not be liable for any such third-party External Services. Data displayed by any Licensed Application or External Service, including but not limited to financial, medical, and location information, is for general informational purposes only and is not guaranteed by Licensor or its agents.

You may not use or otherwise export or re-export the Licensed Application except as authorized by United States law and the laws of the jurisdiction in which the Licensed Application was obtained. The Licensed Application may not be exported or re-exported (a) into any U.S.-embargoed countries or (b) to anyone on the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List.

h. U.S. Government Rights

The Licensed Application and related documentation are "Commercial Items," as that term is defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation," as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202. Consistent with these regulations, the Commercial Computer Software and Documentation are being licensed to U.S. Government end users (a) only as Commercial Items and (b) with only those rights as are granted to all other end users.

i. Governing Law (Apple EULA)

Except to the extent expressly provided otherwise, this Agreement and the relationship between You and Apple shall be governed by the laws of the State of California, excluding its conflicts of law provisions. You and Apple agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Santa Clara, California, to resolve any dispute or claim arising from this Agreement. Specifically excluded from application is the United Nations Convention on the International Sale of Goods.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, U.S.A., without giving effect to any conflict of law principles.

Claims of Copyright Infringement

Assignment

Users may not assign these Terms without AllBetter's prior written approval. AllBetter may assign these Terms without User consent to (i) a subsidiary or affiliate, (ii) an acquirer of AllBetter's equity, business, or assets, or (iii) a successor by merger. Any purported assignment in violation of this section shall be void.

Relationship of Parties

No joint venture, partnership, employment, or agency relationship exists between User, AllBetter, or any Service Provider as a result of these Terms or use of the Services.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

Waiver

AllBetter's failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by AllBetter in writing.

Consent

The data You provide is processed with Your consent for the purposes described in this Privacy Policy and as needed to perform Our contract with You (such as facilitating a Job, processing payment, or providing customer support).

Transactional Messages

By creating an Account, You agree to receive transactional and account-related messages (such as booking confirmations, payment receipts, dispute updates, security alerts, and policy notices) by email and SMS. These messages are necessary to provide the Services and are not marketing.

Marketing Messages (Separate, Optional Consent)

Marketing email and SMS messages (such as promotional offers, product announcements, and newsletters) are sent only to Users who have separately opted in by checking the dedicated marketing-consent checkbox at signup or in account settings. Marketing consent is not bundled into acceptance of these Terms. Consent is not a condition of purchase. Message and data rates may apply. Message frequency varies. Reply HELP for help or STOP to cancel SMS marketing messages, or use the unsubscribe link in any marketing email.

How to Access or Change Your Personal Information

If You close Your AllBetter Account, We will mark Your account "Closed" but will keep account information for a period of time as required by applicable law (in particular, anti-money laundering laws). After closure, Your personal information will not be used for any further purposes nor sold or shared, except as necessary to prevent fraud, assist law enforcement, or as required by law.

Rights in Relation to Your Personal Information

You have the right to: (a) request access to Your personal data; (b) request correction of inaccurate data; (c) request erasure (subject to legal exceptions); (d) object to processing; (e) request restriction of processing; (f) request the transfer of Your personal data to You or to a third party in a structured, commonly used, machine-readable format; (g) withdraw consent at any time where We rely on consent. Withdrawal of consent does not affect the legality of processing carried out before withdrawal.

No fee is usually required. We may charge a reasonable fee or refuse to comply if Your request is clearly unfounded, repetitive, or excessive. We may need to request specific information to confirm Your identity. We try to respond to all legitimate requests within one month.

  • Right to Correct. You may request that AllBetter correct inaccurate personal information.
  • Right to Opt Out of Sale or Sharing. AllBetter does not sell personal information for money. AllBetter may "share" personal information for cross-context behavioral advertising as defined under CPRA. You may opt out at any time by emailing hello@allbetterapp.com with the subject line "OPT OUT OF SHARING." We also honor the Global Privacy Control (GPC) browser signal.
  • Right to Limit Use of Sensitive Personal Information. AllBetter does not use sensitive personal information beyond what is necessary to provide the Services. You may direct AllBetter to limit such use by emailing hello@allbetterapp.com.
  • Right of Non-Discrimination. AllBetter will not deny services, charge different prices, or provide a different level of service for exercising any of these rights.

We will verify Your identity before processing and respond within forty-five (45) days, extendable by an additional forty-five (45) days for complex requests. You may designate an authorized agent in writing to submit a request on Your behalf. AllBetter does not offer financial incentives in exchange for the collection or sale of personal information.

Retention of Personal Information

We retain Your personal data for as long as necessary for the purposes of Our business relationship with You, to perform Our contractual obligations to You, or as required for legal and regulatory purposes. We have established internal policies for the deletion of data from customer accounts following the termination of a customer's subscription.

We maintain (and require Our service providers to maintain) appropriate physical, technical, and administrative safeguards to protect the security and confidentiality of the personal information You entrust to Us. We use computer safeguards such as firewalls and data encryption, enforce physical access controls, and authorize access to personal information only for employees who require it. However, We cannot guarantee that loss, misuse, unauthorized acquisition, or alteration of Your data will not occur. Please choose a strong password, do not reveal it to any third party, and immediately notify Us if You become aware of any unauthorized access.

Children's Personal Information

We do not knowingly collect personal information from any person under the age of 18. If a user submitting personal information is suspected of being younger than 18, We will require the user to close their account.
